This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a single entity, hereinafter referred to as “Licensee” or “You”) and Mozo Business Apps t/a Zoom Apps (“Licensor,” “We,” or “Us”) for the Quickbooks Integration for Solahart Dealers plugin/application (“Software”).
By installing, copying, accessing, or using the Software, You agree to be bound by the terms of this Agreement. If You do not agree to these terms, do not install or use the Software.
1. License Grant
Subject to your compliance with this EULA and payment of any applicable fees, Licensor grants You a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software solely for your internal business operations as an authorized Solahart dealer.
2. Intellectual Property & Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.
- Trademarks: “QuickBooks” is a registered trademark of Intuit Inc. “Solahart” is a registered trademark of Solahart Industries Pty Ltd or its affiliates. This Software is an independent integration and is not endorsed, sponsored, or affiliated with Intuit Inc. or Solahart, unless explicitly stated otherwise.
3. Restrictions
You shall not, and shall not permit any third party to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software (except to the extent permitted by applicable law or open-source licenses).
- Modify, adapt, translate, or create derivative works based upon the Software.
- Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or any rights granted herein to any third party.
- Remove, alter, or obscure any proprietary notices, labels, or marks on or within the Software.
- Use the Software to process data for any third party not covered under your authorized Solahart dealership license.
4. Data Syncing & Privacy
- Data Access: The Software connects your WordPress instance with QuickBooks and/or Solahart platforms to synchronize operational, financial, customer, or sales data.
- Accuracy: You are solely responsible for verifying the accuracy, integrity, and completeness of all data imported or exported using the Software.
- Data Security: You agree to maintain appropriate operational and administrative safeguards to protect any sensitive customer or financial data processed through your WordPress website and QuickBooks instance.
5. Third-Party Services & APIs
The Software relies on APIs and third-party systems, including Intuit QuickBooks and Solahart platforms. Licensor is not responsible for service interruptions, changes to third-party API policies, data loss, or system errors caused by third-party platforms or changes made to your WordPress environment.
6. Support & Updates
- Licensor may, at its sole discretion, provide bug fixes, updates, or technical support.
- Any updates provided by Licensor shall be considered part of the Software and subject to the terms of this EULA.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination
This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if You fail to comply with any of its terms. Upon termination, You must immediately cease all use of the Software and delete or destroy all copies in your possession.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of this EULA shall be instituted in the courts of Australia.
